GemRadar — Disclaimer & Terms of Use
Effective date: September 2, 2026 Last updated: September 2, 2026
These Disclaimer & Terms of Use ("Terms") govern your access to and use of GemRadar (the "Service"), operated by [Company Legal Name] ("GemRadar," "we," "us," or "our"). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Not Investment Advice
GemRadar is an information and research tool. Nothing on the Service — including any screener output, "gem" rating, insider-conviction data, analyst-valuation data, market-behavior data, snapshot, watchlist feature, or AI-generated commentary — constitutes investment advice, financial advice, trading advice, or a recommendation to buy, sell, or hold any security, and it should not be relied upon as such.
The content on GemRadar is general in nature and is not based on, and does not take into account, your individual financial situation, investment objectives, risk tolerance, or any other personal circumstances. It is not tailored to any individual user or account. You should not treat any content on GemRadar as personalized advice of any kind, and no part of the Service is intended to meet the objectives or needs of any specific individual or account.
Any decision to buy, sell, or hold a security is yours alone. Before making any investment decision, you should conduct your own research and consult a licensed, independent financial advisor, broker, or attorney who can evaluate your specific situation.
2. How GemRadar Works
GemRadar surfaces small- and mid-cap stocks by algorithmically combining publicly available, third-party data — insider transactions, analyst ratings and price targets, and market/price behavior — into a set of raw, data-derived signals ("pillars"). GemRadar also combines these pillars into a single, weighted composite score (the "Divergence Score"), shown alongside each individual pillar. This weighting is a first, unvalidated attempt at combining these signals — it has not been back-tested, is not known to correlate with future performance, and may change at any time without notice.
GemRadar's outputs are generated automatically from historical and third-party data using pre-set rules and algorithms. They reflect patterns in past and current data only, are not predictions, and do not guarantee any future outcome. Markets are unpredictable, and a favorable combination of signals today does not mean a security's price will rise, or that it will not fall.
3. AI-Generated Content
Certain features of the Service (including per-stock "AI advice" summaries and the AI chat widget) use a third-party large language model (Anthropic's Claude) to generate written commentary based on the data pillars described above. This content is clearly labeled as AI-generated within the Service.
AI-generated content is produced automatically and without human review before being shown to you. It may be incomplete, outdated, or simply wrong, and may misinterpret or misstate the underlying data. It is provided for informational and illustrative purposes only, is not investment advice for the reasons stated in Section 1, and should never be your sole basis for a financial decision.
4. Data Sources; No Guarantee of Accuracy
GemRadar relies on third-party market-data providers for pricing, fundamentals, insider-transaction filings, and analyst estimates. We do not independently verify this data, and we do not control its accuracy, completeness, or timeliness. Data may be delayed, cached, incomplete, or contain errors, and insider-transaction coverage is currently limited to U.S. securities that file Form 4.
The Service, and all content on it, is provided "as is" and "as available," without any express or implied warranty of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
5. No Guarantee of Results; Risk of Loss
Investing in securities, particularly small- and mid-cap securities, involves substantial risk, including the risk of total loss of principal. Past performance — including any "proven since" badge, snapshot comparison, or historical price movement shown on the Service — is not indicative of, and does not guarantee, future results.
You acknowledge and agree that:
- You use the Service, and act on any information obtained from it, entirely at your own risk.
- GemRadar does not guarantee any level of investment performance or that you will avoid a loss from securities you research using the Service.
- Nothing in the Service should be construed as a guarantee, promise, or assurance regarding the future performance of any security.
6. Not a Registered Investment Adviser or Broker-Dealer
GemRadar, [Company Legal Name], and their officers, employees, and contractors are not registered as an investment adviser, broker-dealer, or similar regulated entity with the U.S. Securities and Exchange Commission, any state securities regulator, or any other financial regulatory authority, and nothing on the Service should be construed as such registration or as offering the services of a registered adviser or broker-dealer. No fiduciary, advisory, or agency relationship is created between you and GemRadar through your use of the Service.
7. Eligibility
The Service is intended for users who are at least 18 years old and legally capable of entering into these Terms. By using the Service you represent that you meet these requirements. The Service is not directed at, and should not be relied upon by, residents of any jurisdiction where its content would be contrary to local law or regulation.
8. Accounts and Acceptable Use
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree not to misuse the Service, including by attempting to circumvent rate limits, scraping data at scale, reverse-engineering the Service, or using it to violate any applicable law, including securities law.
9. Intellectual Property
The Service, including its design, software, and underlying algorithms (but excluding third-party data and AI-generated text, which remain subject to the rights of their respective providers), is owned by [Company Legal Name] and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service except as expressly permitted.
10. Third-Party Services
The Service integrates or relies on third-party providers, including but not limited to our market-data provider, our authentication and data-storage provider, and our AI provider. We are not responsible for the accuracy, availability, or practices of these third parties, and your use of features built on them may also be subject to those providers' own terms.
11. Limitation of Liability
To the fullest extent permitted by applicable law, in no event will GemRadar, [Company Legal Name], or their officers, employees, contractors, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or investment value, arising out of or relating to your use of, or inability to use, the Service — including reliance on any data, algorithmic output, or AI-generated content — even if advised of the possibility of such damages.
To the fullest extent permitted by applicable law, our total aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us, if any, to use the Service in the twelve (12) months before the claim arose, or (b) one hundred U.S. dollars (USD $100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless GemRadar, [Company Legal Name], and their officers, employees, and contractors from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any applicable law.
13. Changes to the Service and These Terms
We may modify, suspend, or discontinue the Service, or any part of it, at any time. We may update these Terms from time to time; material changes will be indicated by updating the "Last updated" date above, and continued use of the Service after such changes constitutes acceptance of the revised Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of [Insert State], United States, without regard to its conflict-of-laws principles. [Insert dispute-resolution / arbitration / venue clause — recommend counsel input.]
15. Contact
Questions about these Terms can be sent to [Insert contact email].
This disclaimer intentionally uses general, impersonal language throughout (Sections 1–2) rather than advice tailored to any individual user's circumstances. Consult qualified U.S. securities counsel before publishing, particularly to confirm the Service's positioning relative to the "impersonal advisory service" safe harbor under the Investment Advisers Act of 1940 (Rule 202(a)(11)-1), and to add any state-specific consumer-protection language, a proper arbitration/venue clause, and a companion Privacy Policy (recommended given the Service collects email addresses and, if enabled, Google account data via Supabase Auth).
